Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Elbe Tech Invest ETI GmbH ("Reelmine", "we", "us"), the operator of reelmine.ai and of the Reelmine platform (the "Platform"). By accessing the website, requesting access to the Platform, creating an account or otherwise using the Platform, you confirm that you have read, understood and accepted these Terms.

If you do not accept the Terms, do not use the Platform. Specific Platform modules (token offerings, credit facilities, bridge loans, AI Ad Engine) may be governed by additional product terms presented to you at the moment of use; in case of conflict, the product terms prevail for that module.

The Platform is offered exclusively to qualified, professional or accredited investors, to film producers and to authorised business counterparties. By using the Platform you represent and warrant that you:

• Are at least 18 years old and have full legal capacity to enter into a binding contract.
• Qualify as a professional client under MiFID II / FCA COBS, an accredited investor under SEC Rule 501 of Regulation D, or under an equivalent local regime where you reside.
• Are not located in, ordinarily resident in, or a national of, any jurisdiction where access to the Platform would breach applicable law (including but not limited to jurisdictions subject to comprehensive sanctions).
• Have completed Reelmine's KYC, KYB and accreditation checks where required.

We may refuse, suspend or terminate access at any time if eligibility cannot be verified or if continued access would expose Reelmine or its counterparties to legal, regulatory or reputational risk.

The Platform provides infrastructure for film financing, including:

• Equity Token Sale — tokenisation of SPV equity offered to qualified investors, with on-chain settlement.
• Equity-Backed Credit — credit facilities collateralised by SPV equity tokens and other eligible collateral.
• Bridge Loans — short-dated, overcollateralised facilities against pre-sold receivables.
• AI Ad Engine — discovery and valuation of in-content advertising inventory.
• Reporting — production, capital-stack and distribution-revenue dashboards.

Reelmine acts as a technology provider. Regulated activities — including digital-asset issuance, custody, transfer and settlement, payment processing, identity verification and AML / sanctions screening — are performed by partners that are regulated and licensed in the relevant jurisdictions. The legal nature of, and the regulated party responsible for, any specific transaction is described in the offer documents you receive at the moment of use. Reelmine is not your investment adviser, broker, custodian or fiduciary unless explicitly agreed in a separate signed agreement.

You are responsible for safeguarding your credentials, multi-factor authentication device and any wallet keys you use to interact with the Platform. You must:

• Provide accurate and up-to-date information during registration and KYC.
• Notify us immediately at security@reelmine.ai of any suspected unauthorised access.
• Not share your account or impersonate another person.

You are liable for all activity carried out under your account until you have notified us of compromise and we have had a reasonable time to act.

You agree not to:

• Use the Platform to commit a crime or to facilitate market abuse, fraud, money laundering or terrorism financing.
• Upload material you have no right to share, or that infringes third-party intellectual property.
• Attempt to reverse engineer, scrape, decompile or interfere with Platform infrastructure.
• Probe, scan or test the vulnerability of any Platform component without express written authorisation.
• Submit content that is unlawful, defamatory, obscene, or that contains malware.
• Use the Platform to make a public offering of securities to retail investors in any jurisdiction where doing so would be unlawful.

We may remove content, suspend access or terminate your account if you breach these rules, without prejudice to other remedies.

Information about specific projects shown on the Platform is preliminary, may be incomplete, and is intended only as a teaser. Nothing on the website constitutes an offer to sell or a solicitation of an offer to buy any security, token, loan or other financial product.

Any offering will be made only by the relevant SPV through formal offer documents (term sheet, private placement memorandum, subscription agreement and risk disclosures), made available exclusively to verified eligible investors. In the event of any conflict between the offer documents and the website, the offer documents prevail.

Past performance is not indicative of future results. Investments in film projects are high-risk and you may lose all or part of your invested capital. Read our Risk Disclosures before participating in any offering.

The Platform, the Reelmine name and logo, the AI engine, the smart contracts, the dashboards and all related content are the intellectual property of Reelmine or its licensors. We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Platform for its intended purpose and in accordance with these Terms.

Content you upload (scripts, contracts, project documents) remains your property. You grant us a limited licence to host and process that content as required to provide the Platform and to comply with our legal obligations. We do not use your content to train third-party AI models.

The Platform integrates with third-party providers (identity verification, custody, on-chain settlement, payment, sanctions screening). Their services are governed by their own terms and privacy policies. Reelmine does not control and is not responsible for third-party content or outages, but will use reasonable efforts to select competent providers and to maintain operational continuity.

To the maximum extent permitted by law, the Platform is provided "as is" and "as available", without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.

Reelmine does not provide investment, legal, tax or accounting advice. Information shown on the Platform is for general purposes only. You should consult your own independent advisors before making any decision.

To the maximum extent permitted by law, Reelmine and its affiliates, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenues, data, business opportunity, goodwill or anticipated savings, arising out of or in connection with your use of the Platform.

Reelmine's aggregate liability for direct damages arising from or in connection with these Terms shall not exceed the fees paid by you to Reelmine in the twelve (12) months preceding the event giving rise to the claim, or one thousand euro (€1,000), whichever is greater.

Nothing in these Terms excludes or limits liability for: (i) gross negligence or wilful misconduct, (ii) death or personal injury caused by negligence, (iii) fraud or fraudulent misrepresentation, or (iv) any liability that cannot be excluded under mandatory law.

You agree to indemnify and hold Reelmine harmless from any claim, demand or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Platform or your violation of any law or third-party right.

You may close your account at any time by writing to info@reelmine.ai. We may suspend or terminate access if you breach these Terms, if continued access exposes Reelmine to legal or regulatory risk, or if we discontinue the Platform.

Termination does not affect rights and obligations that have accrued before the termination date, nor obligations that by their nature survive (intellectual property, disclaimers, limits of liability, indemnity, governing law and dispute resolution).

We may update these Terms from time to time. The current version is always available on this page with the date of last update. For material changes, we will give reasonable advance notice through the Platform or by email. Continued use of the Platform after the effective date of an update constitutes acceptance.

These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict of laws rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG).

The exclusive place of jurisdiction for all disputes arising out of or in connection with these Terms shall be Hamburg, Germany, provided that consumers (where the Platform is exceptionally accessed by a person qualifying as such) retain the right to bring proceedings in their place of residence under mandatory law.
